1. Platform Description & Nature of Service
Doorden ("Company," "we," "us," or "our") operates a technology platform that connects independent Sales Representatives ("Reps") with licensed home-service businesses ("Businesses") and homeowners ("Homeowners"). Doorden facilitates lead generation, job coordination, deposit collection, and commission tracking.
Doorden is not a contractor, employer, staffing agency, or service provider. We do not perform home services, employ Reps, or guarantee the quality, safety, timeliness, or legality of any work performed through leads generated on our platform. All service agreements are solely between the Business and the Homeowner. Doorden is not a party to those agreements.
2. Eligibility
You must be at least 18 years of age to create an account or use any part of this platform. By using Doorden, you represent and warrant that you have the legal capacity to enter into a binding contract. If you are using the platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
3. Account Terms
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate, complete, and current information when creating your account.
- You may not create more than one account per person or entity without prior written approval from Doorden.
- You may not transfer, sell, or share your account with any third party.
- Doorden reserves the right to suspend or permanently terminate any account at any time, with or without notice, for any violation of these Terms or conduct deemed harmful to the platform or its users.
4. Prohibited Conduct & Anti-Fraud Policy
The integrity of the Doorden platform depends on honest participation from all parties. The following conduct is strictly prohibited and constitutes a material breach of these Terms:
4.1 All Users
- Submitting false, fabricated, or misleading information of any kind.
- Attempting to circumvent, manipulate, or exploit the platform's systems, payment flows, or commission structures.
- Using the platform to facilitate transactions that are then intentionally concealed from Doorden.
- Harassing, threatening, or engaging in abusive conduct toward any other user.
- Using automated bots, scrapers, or scripts to interact with the platform.
- Sharing platform data, lead information, or user contact details with unauthorized third parties.
4.2 Sales Representatives
- Submitting fake, duplicated, or fabricated leads.
- Quoting prices to Homeowners that were not genuinely discussed and agreed upon.
- Colluding with Homeowners to submit fraudulent or inflated jobs.
- Contacting Businesses directly — outside of Doorden — to arrange deals that originated on or through the platform.
- Creating multiple accounts to inflate leaderboard rankings, commission totals, or training progress.
- Misrepresenting your training level, service areas, or qualifications to any Business or Homeowner.
- Accepting any payment, gift, or benefit from a Business or Homeowner in exchange for favorable treatment outside of your standard commission.
4.3 Businesses
- Contacting Homeowners directly to arrange payment or service outside of the Doorden platform, for any lead that originated through Doorden.
- Instructing, encouraging, or incentivizing Reps or Homeowners to conduct transactions off-platform.
- Accepting a quote through Doorden and then completing the job outside the platform to avoid platform fees or Rep commissions.
- Submitting fraudulent job statuses (e.g., marking a job complete when it was not performed).
- Manipulating Rep ratings in bad faith or retaliating against Reps with false negative reviews.
- Operating without the required licenses, permits, or insurance to perform the services offered on the platform.
4.4 Homeowners
- Filing fraudulent chargebacks or payment disputes after services have been legitimately performed.
- Colluding with Reps to submit fake or exaggerated job quotes.
- Negotiating directly with a Business to exclude the Rep's commission, for any job that originated through a Doorden Rep.
- Providing false information to obtain services, refunds, or other benefits.
5. Off-Platform Dealing — Liquidated Damages
Any transaction, agreement, or exchange of value between a Rep, Business, and/or Homeowner that (a) originated through the Doorden platform and (b) is conducted outside the platform to avoid Doorden's fees or commission structure constitutes off-platform dealing and is a material breach of these Terms.
The parties acknowledge that the exact damages to Doorden from off-platform dealing are difficult to calculate. Therefore, any party found to have engaged in off-platform dealing agrees to pay Doorden liquidated damages equal to three times (3×) the total fees and commissions that would have been owed to Doorden and the applicable Rep had the transaction been processed through the platform. This amount represents a reasonable estimate of damages and is not a penalty.
In addition to liquidated damages, Doorden reserves the right to permanently ban all accounts associated with the off-platform dealing, pursue legal action for breach of contract, and seek recovery of attorney's fees and court costs.
6. Payments, Deposits & Refund Policy
Deposits: When a Business accepts a quote, the Homeowner is required to pay an 18% deposit of the total quoted job value through Doorden's secure payment processor (Stripe). This deposit confirms the Homeowner's intent to proceed and protects the Business from no-shows.
Refund Policy: Homeowners may request a full refund of their deposit within 48 hours of payment, provided the Business has not yet scheduled or commenced the work. After 48 hours, deposits are non-refundable. If a Business cancels or fails to perform the work after a deposit has been collected, Doorden will review the situation on a case-by-case basis and may issue a refund at its sole discretion.
Remaining Balance: The remaining balance (82% of quoted job value) is collected directly by the Business from the Homeowner upon job completion. Doorden is not responsible for collecting or enforcing payment of the remaining balance.
Chargebacks: Homeowners agree not to initiate chargebacks for legitimate services rendered. Any fraudulent chargeback constitutes a breach of these Terms and Doorden reserves the right to pursue recovery of the disputed amount plus associated fees.
7. Commissions & Platform Fees
For each completed job processed through Doorden:
- 82% of the total job value is net revenue to the Business (less the 18% deposit already collected through Doorden).
- 12% is the Rep's commission, tracked by Doorden and payable by the Business.
- 6% is Doorden's platform fee.
Commissions are tracked automatically within the platform. Doorden does not guarantee specific payout timelines and is not liable for delays caused by banking processing times, incorrect payment information, or disputes between parties. The Business is solely responsible for ensuring Rep commissions are paid accurately and timely.
8. Independent Contractor Status of Reps
Sales Representatives are independent contractors, not employees, agents, partners, or joint venturers of Doorden. Reps are solely responsible for their own taxes, insurance, equipment, and compliance with all applicable laws. Nothing in these Terms creates an employment relationship between Doorden and any Rep. Doorden does not control the manner or means by which Reps perform their door-to-door sales activities.
9. Business Responsibilities
Businesses are solely and exclusively responsible for:
- Holding all required licenses, permits, and certifications to perform the services they offer.
- Maintaining adequate insurance, including general liability and workers' compensation where required by law.
- Ensuring all work is performed safely, legally, and to a professional standard.
- Complying with all federal, state, and local laws applicable to their industry.
- Any property damage, personal injury, or losses arising from work performed or not performed.
- Accurate and honest representation of their services, pricing, and capabilities on the platform.
Doorden does not verify Business licenses, insurance, or qualifications and makes no representation that any Business is licensed, bonded, or insured.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOORDEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Property damage or personal injury arising from any job arranged through the platform.
- Loss of revenue, profits, data, or business opportunities.
- Conduct of any Rep, Business, or Homeowner on or off the platform.
- Failure of any party to perform their obligations.
- Interruption or unavailability of the platform.
- Unauthorized access to or alteration of your account data.
Doorden's total cumulative liability to any user for any claims arising out of or related to these Terms or the platform shall not exceed the greater of (a) $100 USD or (b) the total amount of fees paid by that user to Doorden in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Doorden and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:
- Your use of or inability to use the platform.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any work you performed or failed to perform as a Business.
- Any lead you submitted as a Rep.
- Any dispute between you and another user of the platform.
- Any fraud, misrepresentation, or off-platform dealing you engaged in.
12. Dispute Resolution & Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Doorden platform shall be resolved exclusively through binding individual arbitration administered by a recognized arbitration service under its applicable rules. The arbitration shall be conducted in English.
You waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Notwithstanding the above, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, including but not limited to cases of off-platform dealing or fraud.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Doorden is headquartered, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in that jurisdiction.
14. Account Suspension & Termination
Doorden reserves the right to suspend, restrict, or permanently terminate any account at its sole discretion, including but not limited to accounts that:
- Violate any provision of these Terms.
- Engage in fraudulent, deceptive, or abusive conduct.
- Are found to have participated in off-platform dealing.
- Receive repeated complaints from other users.
- Engage in conduct that Doorden reasonably believes could expose it or any user to legal liability.
Upon termination, any commissions or fees owed to a Rep who violated these Terms may be forfeited at Doorden's discretion. Termination does not release any party from obligations or liabilities incurred prior to termination, including payment of liquidated damages for off-platform dealing.
15. Platform Availability & Modifications
Doorden makes no guarantee that the platform will be available, error-free, or uninterrupted at any time. We reserve the right to modify, suspend, or discontinue any part of the platform at any time without notice. We also reserve the right to modify these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms. We will make reasonable efforts to notify registered users of material changes.
16. Privacy
Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Doorden, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
17. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Doorden with respect to your use of the platform and supersede all prior agreements, understandings, and communications, whether written or oral.
